1. Scope & Purpose

These Terms & Conditions (“Terms”) govern the relationship between JM DEFENDURE s.r.o. (“Seller”) and its customers (“Buyer”). The website www.defenduregrip.com serves as a product presentation platform for DefendureGrip equipment and does not operate as an automated e-commerce store.

Orders are accepted individually by email or phone and confirmed manually by the Seller. By placing an order, the Buyer agrees to these Terms.

2. Ordering & Contract Formation

• Order placement: via email at sales@defenduregrip.com or by phone at +420 777 719 431.
• Contract conclusion: A purchase contract is formed when the Seller confirms the order by email or phone.
• Right to refuse: The Seller may decline an order if it cannot be fulfilled (e.g., unavailable goods, incorrect information, or technical error).

3. Prices & Payments

• Prices: Unless stated otherwise, prices include VAT and are indicative only. Final prices may vary depending on quantity, configuration, or customization.
• Payment methods: Bank transfer (advance invoice) or cash on delivery / in person by mutual agreement.
• Due date: Payment terms are defined in the order confirmation. The Seller may suspend or cancel an order if payment is not received on time.

4. Delivery Conditions

• Delivery method: Via courier or personal pickup by agreement.
• Delivery time: Communicated during order confirmation and depends on product availability.
• Risk of damage: Passes to the Buyer upon hand-over to the carrier. Buyers are advised to check the shipment upon delivery and report any visible damage immediately.

5. Right of Withdrawal (Consumers)

If the Buyer is a consumer, they have the right to withdraw from the purchase within 14 days of receiving the goods, without giving any reason (in line with Section 1829 of the Czech Civil Code).

To exercise this right, email sales@defenduregrip.com and include your order number and contact details. The goods must be returned undamaged, complete, and preferably in the original packaging.

The right of withdrawal does not apply to business (B2B) purchases or products made or modified according to the Buyer’s specifications.

6. Warranty & Claims

• Warranty period: 24 months for consumers; for B2B, the warranty terms are agreed individually.
• Defect notification: Report defects without undue delay after discovery, via email or in writing to the Seller’s address.
• Complaint handling: The Seller will process consumer claims within 30 days of receipt. Remedies may include repair, replacement, discount, or refund according to law.

7. Personal Data

Personal data are processed according to our Privacy Policy, which forms an integral part of these Terms.

8. Alternative Dispute Resolution

Consumers may use out-of-court dispute resolution via the Czech Trade Inspection Authority (Česká obchodní inspekce). For business (B2B) relationships, disputes shall be resolved under Czech law before the competent court at the Seller’s registered seat.

9. Governing Law & Jurisdiction

These Terms are governed by the laws of the Czech Republic. Mandatory consumer rights remain unaffected. For B2B relations, any disputes shall be settled by the court with jurisdiction over the Seller’s registered office.

10. Liability & Force Majeure

The Seller is not liable for indirect or consequential losses, loss of profit, or damage resulting from misuse or use contrary to product instructions. Warranty and liability are void if the product is used improperly.

The Seller shall not be responsible for delays or failures caused by events beyond reasonable control (e.g., natural disasters, war, strikes, transport disruptions). Deadlines are extended for the duration of such circumstances.

11. Changes to These Terms

The Seller may update these Terms from time to time. The version effective at the time of order confirmation applies to the purchase. The current version is always available on this website.
